• AI consulting and model development
• Cloud infrastructure and system design
• Software development and APIs
• Data analytics and automation

If you do not agree, you may not use our services.

2. Eligibility

You must:

• Be at least 18 years old
• Have authority to enter into agreements on behalf of your organization

3. Services

Techpunditsinc provides customized, project-based consulting and technical services.

Important:

• All services are defined in separate agreements, proposals, or statements of work (SOWs)
• These Terms act as the baseline agreement

4. Client Responsibilities

You agree to:

• Provide accurate and lawful data
• Ensure you have rights to any data shared
• Not use Techpunditsinc services for illegal or harmful purposes
• Maintain security of credentials and access

5. Payments & Fees

• Fees are defined in proposals or contracts
• Payments are due as agreed (e.g., upfront, milestone, or net terms)
• Late payments may result in suspension of services or additional fees

6. Intellectual Property

6.1 Techpunditsinc IP

We retain ownership of:

• Pre-existing tools, frameworks, and systems
• Internal methodologies
• Generic AI models and infrastructure

6.2 Client IP

You retain ownership of:

• Your data
• Your proprietary business logic
• Deliverables explicitly defined as yours in the contract

6.3 License

Unless otherwise stated, you receive a non-exclusive, non-transferable license to use deliverables.

7. AI-Specific Terms

This is a critical section governing your use of AI systems and outputs.

7.1 No Guarantee of Accuracy

AI systems may produce inaccurate or incomplete outputs and require human validation.

You agree to review and validate outputs before relying on them.

7.2 No Model Training on Client Data

Techpunditsinc does not train AI models on your data unless:

• Explicit written consent is provided
• A separate agreement is signed

7.3 Responsible Use

You agree NOT to use our AI systems for:

• Illegal activities
• Harmful or discriminatory purposes
• Misleading or deceptive outputs

7.4 Third-Party AI Services

We may use external AI providers. We are not responsible for their independent behavior, but we use vetted providers and minimize data exposure.

8. Confidentiality

Both parties agree to:

• Protect confidential information
• Not disclose proprietary data
• Use information only for agreed purposes

This obligation survives termination.

9. Data Protection

Your data is handled in accordance with our Privacy Policy.

We implement:

• Security safeguards
• Access controls
• Confidential handling of business data

10. Service Availability

We aim for high reliability but do not guarantee:

• Continuous uptime
• Error-free services

11. Limitation of Liability

To the maximum extent permitted by law, Techpunditsinc is not liable for:

• Indirect or consequential damages
• Loss of profits, revenue, or data
• Decisions made based on AI outputs

12. Indemnification

You agree to indemnify Techpunditsinc against claims arising from:

• Your use of services
• Your data or content
• Violations of law or third-party rights

13. Termination

We may suspend or terminate services if:

• Terms are violated
• Payments are not made
• Risk or misuse is identified

You may terminate per your agreement terms.

14. Governing Law

These Terms are governed by the laws of the State of New Jersey, United States.

15. Dispute Resolution

• Parties will attempt good-faith resolution first
• If unresolved, disputes may be handled through arbitration or courts in New Jersey

16. Changes to Terms

We may update these Terms periodically. Continued use means acceptance.
